END USER LICENSE AGREEMENT

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY
This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (either an individual or a single entity) (“Licensee” or “You”) and Strategic Technology Partners, LLC (“Company,” “We,” or “Us”) for the software application, including all associated media, printed materials, and electronic documentation (collectively, the “Software”) that accompanies this EULA.
By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. GRANT OF LICENSE
Strategic Technology Partners, LLC grants you a non-exclusive, non-transferable license to use the Software within the Company’s internal business operations. This license is granted solely to authorized employees and contractors of Strategic Technology Partners, LLC.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
2.1 Internal Use Only. The Software is licensed exclusively for internal business purposes within Strategic Technology Partners, LLC. You may not use the Software for any external commercial purposes, nor provide access to external parties without written permission from authorized company management.
2.2 Limitations on Reverse Engineering. You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent that such activity is expressly permitted by applicable law.
2.3 No Separation of Components. The Software is licensed as a single product and its components may not be separated for use on more than one device unless expressly authorized by us.
2.4 No Rental or Transfer. You may not rent, lease, lend, sell, redistribute, sublicense or provide commercial hosting services with the Software.
2.5 Compliance with Applicable Laws. You must comply with all applicable laws regarding use of the Software.
3. INTELLECTUAL PROPERTY RIGHTS
The Software is protected by copyright and other intellectual property laws and treaties. Strategic Technology Partners, LLC owns all title, copyright, and other intellectual property rights in and to the Software. This EULA does not grant you any rights to trademarks or service marks of Strategic Technology Partners, LLC.
4. CONFIDENTIALITY
The Software contains confidential and proprietary information belonging to Strategic Technology Partners, LLC. You agree to maintain the confidentiality of the Software using at least the same degree of care that you use for your own confidential information, but no less than reasonable care.
5. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.
6. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRATEGIC TECHNOLOGY PARTNERS, LLC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF STRATEGIC TECHNOLOGY PARTNERS, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. SOFTWARE MAINTENANCE AND SUPPORT
Strategic Technology Partners, LLC may provide you with support services related to the Software according to company policies. Any supplemental software code provided to you as part of the support services shall be considered part of the Software and subject to the terms and conditions of this EULA.
8. TERM AND TERMINATION
8.1 Term. This EULA is effective until terminated.
8.2 Termination by You. You may terminate this EULA at any time by uninstalling and ceasing to use the Software.
8.3 Termination by Us. This EULA and your license to use the Software will terminate immediately and automatically without notice from Strategic Technology Partners, LLC if you fail to comply with any term or condition of this EULA or upon the termination of your employment or contractual relationship with Strategic Technology Partners, LLC.
8.4 Effect of Termination. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.
9. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of the state where Strategic Technology Partners, LLC is headquartered, without regard to conflict of laws principles.
10. ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and Strategic Technology Partners, LLC relating to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
11. AMENDMENTS
Strategic Technology Partners, LLC reserves the right to amend this EULA at any time by providing notice through the Software or by other reasonable means. Your continued use of the Software after such notice constitutes your acceptance of the amended EULA.
